The paper addresses the faults of BP (British Petroleum) governance related to the explosion and fire at the BP refinery in Texas City in 2005 discussing BP failure to implement adequate safety management. Legal approaches to placing and avoiding blame are reviewed, ethical standards of business conduct are discussed arguing whether external governance constraints might protect victims of corporate misconduct more effectively than ethical constraints.
