The dissertation looks into the role of accountability and transparency in the stability of companies and state economy addressing the issues of corporate governance (CG), examining the principles of the UK based Institute of Chartered Secretaries and Administrators (ICSA), and applying them to the CG situation in South Africa (SA) renowned for its corruption. Literature is reviewed on the theory of CG, the ICSA code of practice, the features of corporate governance in South Africa, etc. The dissertation uses a mixed methodological approach based on qualitative research. Conclusions are made about the inconsistencies between CG practices in SA and ICSA principles discussing the possible implementation of ICSA in SA and other developing countries.
